因甲方建设工程的需要，将伊拉克华事德电站项目桩基工程钢筋笼加工分包给乙方制作，为明确甲乙双方责任，特签订协议细则如下：一、工程地点：伊拉克瓦西特二、工程内容：钻孔桩钢筋笼成笼。三、单价、计量及支付：单位定为15000第纳尔/节（壹万五千第纳尔每节，每节长度9米），计量方式为按实计量，每日完成钢筋笼节数由甲、乙双方每日签字确认；支付方式为每月1日支付工作量的70%，其余部分待桩基验收完成后一次结清。四、甲方责任：1、负责提供钢筋笼制作场地、电源，检查验收，并协助搬运钢筋笼至孔口。2、负责提供钢筋原材、焊条、电焊机10台。3、甲方负责钢筋笼的安装。五、乙方责任：1、乙方自备包括焊接手套、安全帽等在内的一切焊接设备及工具材料；甲方提供的工具、机械，乙方必须爱护，凡损坏、遗失等，由乙方修理、赔偿。2、电焊工必需持证上岗；3、焊接成笼操作过程必需符合检验规范，否则返工造成的损失由乙方负责，（每一节钢筋笼不符合检验规范，处罚50美元）。4、乙方在施工中必需确保安全，在雨天或潮湿地带作业穿绝缘靴、鞋，否则由此造成的一切后果均由乙方自行承担（包括经济损失）。5、乙方在施工过程中认真配料，壹米以上材料合理搭配用完，若材料超量则与乙方无关。6、乙方必须确保每天加工60节（12套）钢筋笼，否则因合格钢筋笼数量不足而导致甲方的一切损失由乙方承担。六、其它：1、乙方工人的一切安全责任均由乙方全部承担。2、文明施工及等均按总包方有关规定执行；3、本协议未尽事宜，甲乙双方协商解决；4、如因乙方原因收到监理、HEPEC、MOE各类通知单，每张罚款200美元；如因乙方原因收到监理、HEPEC、MOE各类罚款单，由乙方全部承担5、本协议一式肆份，甲乙双方各执贰份，签字盖章后生效，工程竣工工程款结清自然失效。甲方： 乙方：

3.0 Unit Rate, Unit and Payment:
The unit rate is 15,000 Dinars per steel cage (length of each steel cage 9.00 meter ), the quantity should base on site measurement. The quantity of steel cage finished each day should be confirmed base on main contractor and sub-contractor signature each day. The payment shall be released on the 1st of each month for 70% of the completed job, the balance amount shall be one time paid once finished the inspection of the whole piling job.
4.0 Responsibility of main contractor
a) Processing field, electrical for fabricating steel cage, inspect and accept the product in good condition and assist the sub-contractor the shift the steel cage near to the pile orifice to be provided by main contractor.
b) Reinforced materials, welding rod and 10 sets of electric welding machine to be provided by main contractor.
c) Installation of steel cages to the pile orifices to be provided by main contractor.
5.0 Responsibility of sub-contractor
a) Welding gloves, helmet and other accessories & etc. to be provided by sub-contractor. Tools and machineries which provided by main contractor shall be proper protected by sub-contractor, any damage or lost or etc. should be repaired or compensated by sub-contractor.
b) All welders shall start to work with certificates.
c) The sub-contract shall be executed in strict and complete compliance with the terms and conditions with the local authorities requirement, code of practice and regulation, and to ensure the installation fit for the purpose for which it is intended and any rework cost attributed shall be fully recovered from you (the sub-contractor will be fined at$50.00 USD for each steel cage which not be completed compliance with the terms and conditions with the local authorities requirement, code of practice and regulation)
d) The sub-contractor must ensure that his workers are fully equipped with PPE & etc. during course of work. The sub-contractor must fully comply with Main Contractor’s instruction in regards to safety at site. Helmet, safety boots and other accessories for safety use to be inclusive in the contract sum failing which any consequences caused will be fully responsible by the sub-contractor.
e) The sub-contractor shall save the volume of steel bars , the bars should be arranged rationally and overlapped with an appropriate length , and used bars will be recovered for circular application, any steel bars above 1.00m long shall be reasonable used.
f) The sub-contractor must ensure to finish fabrication of 60 numbers (12 sets) of steel cage, any cost of main contractor due to shortage of qualified steel cage will be charged to sub- contractor.
6.0 OTHER CONDITIONS
a) The sub-contractor shall take the full responsibly of safety to his workers.
b) Civilized construction and etc. should according to the relevant provisions made by main contractor.
c) This agreement is not completely matters concerned shall be settled through friendly negotiation between main contractor and sub-contractor.
d) Any letter notice received due to the sub-contractor from SUPERVISION, HEPEC or MOE, a $200.00 USD will be charged for each letter notice. Any fines received due to the sub-contractor from SUPERVISION, HEPEC or MOE, the full amount will be responded by the sub-contractor.
e) This Sub-contract in quadruplicate, TWO copies of each party, signed and sealed by the effect, Project completion bond settlement of natural failure.
We hope that with your efficient, keen and enthusiastic cooperation, we will be ensured of a smooth completion of the above contract.

Biscuits restaurants which specialize in the sale of spicy fried chicken
prepared with
batter, spices, and other ingredients prepared with the Popeye Formula (such
batter, spices and other ingredients, “Product”); and
NOW THEREFORE, the parties for the mutual benefits conferred upon each
other herein, the receipt and adequacy of which are acknowledged, agree that:
I.
Spice shall sell to Biscuit, or as Biscuit directs, all of the Product
required by Biscuit, and Biscuit shall purchase its requirements for the
consideration hereafter stated.
II.
During any month, Spice shall not be obligated to supply an amount of
Product disproportionate to average amounts customarily supplied for the
preceding twelve month period.
III.
In consultation with Biscuit, Spice shall endeavor to estimate the
future requirement of Biscuit to assure maximum compliance herewith.
IV.
Prices for the Product shall be as quoted or posted from time to time by
Spice consistent with past practices, shall be payable C.O.D. or on such other
basis

as shall be mutually determined, and shall be uniform throughout the Popeyes
Famous Fried Chicken and Biscuit system.
V.
The term hereof shall be fifteen years. Thereafter, this Agreement may
be terminated by the parties’ agreement, subject to an accounting for Product
already sold but not yet paid for.
VI.
Without the other party’s written consent first obtained, neither party
may assign or encumber its rights hereunder; nor may this Agreement be assumed
by any other person.
VII.
This Agreement may be amended only by a writing executed by the parties
hereto.
VIII.
This Agreement establishes no third party beneficiary rights in any
persons not parties hereto.

Spice hereby agrees that, upon the merger of Church’s Fried Chicken,
Inc. (“Church’s”) and Biscuit becoming effective, Church’s shall become the
Company hereunder and shall be entitled to all of the rights and benefits of

promises and liabilities of Biscuit hereunder.

Ensure safety in construction, all workers shall wear insulated boots, shoes when operating in rainy or humid areas, otherwise all the consequences resulting therefore borne by sub-contractor (including economic loss).e)
The sub-contractor shall save （我不明白这save在这里是指什么意思，用maximize可能会好点）the quantity of reinforcement, in such way that all rebar shall be arranged rationally, any reinforcement bars over 1 meter shall be rationally used. If the material excess, it has nothing to do with sub-contractor. f)
The sub-contractor must ensure to complete fabrication of 60 numbers (12 sets) of reinforcement cage daily, any cost of delay due to shortage of qualified reinforcement cage will be charged to sub- contractor. 6.0 OTHER CONDITIONS a)
The sub-contractor shall be fully responsible for the safety of his workers.b)
Construction safety and etc. should comply to the relevant regulations made set by the main contractor.c)
Matters not covered in this agreement shall be negotiated by both parties through settlement.d)
Fine arising from any notice received from supervision, HEPEC or MOE, caused by the sub-contractor, shall be borne entirely by the sub-contractor. Additionally, USD200 will be fined for each notice received. e)
Each party holds two copies of this agreement which is effective only after authorised signature and duly stamped. This agreement end upon settlement of final payment.
